NON-DISCLOSURE AGREEMENT
 (the “Agreement”)

This Non-Disclosure Agreement is entered into by and between:

BIOMETRIC TECHNOLOGY, INC., a company incorporated under the laws of Delaware, United States of America, (hereinafter referred to as “Party 1”), and the Agent, acting as an independent contractor upon registration on the Platform, (hereinafter referred to as “Party 2”).

Party 1 and Party 2 are hereinafter collectively referred to as the “Parties”, and individually as a “Party.”

1. SUBJECT OF THE AGREEMENT

1.1. This Agreement governs the relationship between the Parties regarding the provision, receipt, and use of Confidential Information.

2. CONFIDENTIAL INFORMATION

2.1. Confidential Information shall mean any information, including but not limited to:

• Technical documentation and product specifications;
• Client databases and contact details;
• Pricing policy and commercial terms;
• Business processes and operational methodologies;
• Any other information marked as confidential.

3. OBLIGATIONS OF THE PARTIES

3.1. The Receiving Party undertakes to:

• Maintain strict confidentiality of the received information;
• Not disclose such information to any third parties without prior written consent;
• Use the information exclusively for the purposes of cooperation;
• Take all necessary measures to protect the information.

4. EXCLUSIONS

4.1. The non-disclosure obligations shall not apply to information that:

• Was known to the Receiving Party prior to its disclosure;
• Became publicly available through no fault of the Receiving Party;
• Was lawfully obtained from third parties.

5. TERM

5.1. This Agreement shall remain in effect for a period of 5 (five) years from the date of its signing.
 5.2. The confidentiality obligations shall survive for 3 (three) years following the termination or expiration of this Agreement.

6. LIABILITY

6.1. The Party in breach of this Agreement shall bear liability in accordance with applicable law.

ACCEPTANCE OF THIS AGREEMENT
 By clicking the “I Agree” button during registration, the Agent confirms that they:

• have carefully read, fully understood, and unconditionally accept the terms of this Non-Disclosure Agreement;
• acknowledge their obligation to maintain the confidentiality of all information received under this Agreement;
• agree to be legally bound by this Agreement and undertake to comply with all confidentiality and non-disclosure obligations therein.
